1. Introduction
Blanchet Advogados is a law firm highly specialized in corporate governance projects and business structuring. Our working methodology arose from the need to offer personalized legal services that generate positive impacts in the lives of each of our clients. This philosophy is reflected in everything we do, combining empathy, agility, experience, technical quality, ethics, and business vision. As a result, this Code of Conduct was prepared to reflect the firm’s structural ethical principles and values, with the purpose of guiding the actions and behaviors of all employees, individually and collectively, within the scope of professional life.
2. Scope of the Code of Conduct
The provisions contained in this Code of Conduct and Ethics apply to partners, associates, interns, external correspondents, service providers, suppliers, clients, and the firm’s employees (“Interested Parties”), who commit and dedicate themselves to adhering to the terms of this Code of Conduct and agree to them, undertaking to fully and faithfully comply with its content.
3. Institutional Values
It is the duty of the partners, associates, interns, external correspondents, employees, and other Interested Parties of the firm to observe and respect the rules set forth in the Statute of Advocacy (Law No. 8.906/1994) and in the Code of Ethics and Discipline of the Brazilian Bar Association. For the practice of law, all Interested Parties are also required to maintain conduct compatible with the principles of individual, social, and professional morality, committing themselves, in the performance of their duties, to follow the instructions and guidelines contained in this Code, as well as to uphold the values of integrity, honesty, loyalty, responsibility, respect, solidarity, confidentiality, among others. It is the responsibility of all partners, associates, and managers of the firm to ensure that all team members are aware of these principles and act in accordance with them. Blanchet Advogados carries out its activities based on the following principles applicable to all its employees:
Integrity
- Act with rectitude and contribute to the realization of the ideal of justice in the daily execution of professional routines;
- Perform activities with the highest level of excellence;
- Strictly observe the ethical rules and standards of advocacy and good professional conduct, including those related to combating corruption under Law No. 12.846/2013 and its amendments.
Honesty
- Honor all commitments undertaken with probity;
- Be frank and loyal with colleagues, clients, competitors, suppliers, and society in general;
- Adopt truthfulness as a permanent standard of conduct;
- Repudiate any and all practices of corruption, public or private, and acts harmful to public administration, whether national or foreign.
Responsibility and Respect
- Value human dignity as a fundamental principle;
- Ensure the maintenance of a harmonious, fraternal, and pleasant work environment;
- Prohibit any practice of moral or sexual harassment;
- Respect others and repudiate any discriminatory acts;
- Fulfill commitments made to clients, colleagues, and/or superiors with efficiency and accuracy;
- Maintain respectful, dignified, constructive, and professional treatment with other employees and clients;
- Communicate appropriately with clients, colleagues, competitors, suppliers, and society in general, promoting the firm’s image and fostering lasting relationships with the firm and/or clients.
Solidarity
- Carry out activities always with regard to the best performance of the team;
- Respect each individual’s uniqueness and the diversity of the whole;
- Channel efforts in support of colleagues and the firm as a whole;
- Provide information and continuous collaboration to all other lawyers, interns, and employees of the firm.
Confidentiality
- Maintain a discreet and trustworthy relationship with clients;
- Preserve and keep confidential the information shared by clients;
- Publicize matters of client interest only with the client’s express authorization;
- Ensure the confidentiality of data entrusted by clients.
4. Institutional Commitments
The firm undertakes the following commitments:
Responsibility towards clients
- Win and retain clients by providing services that fully satisfy them in terms of quality, technical expertise, and competitive pricing, with the aim of maintaining partnerships.
Responsibility towards lawyers, interns, and employees
- Respect the rights and benefits of lawyers, interns, and other employees of the firm, offering them dignified and safe working conditions, enabling the provision of adequate and competitive services;
- Promote employee development and the appreciation of human talent;
- Strive to provide equal and fair work opportunities for all;
- Ensure the effectiveness of institutional principles in all areas of the firm’s operations.
Responsibility towards partners, service providers, and suppliers
- Seek beneficial relationships with partners and suppliers, sharing the firm’s institutional principles as set forth in this Code of Conduct;
- In cases of hiring suppliers/service providers who have any family or personal relationship of any kind with firm employees, any benefit or differentiated treatment will be expressly prohibited, ensuring that the firm always seeks the best cost-benefit in its procurement procedures, observing the principles of transparency, independence, and total equality of treatment and opportunities.
Responsibility towards society
- Conduct the firm’s activities responsibly before society in general, supporting the improvement of the legal system and the democratic regime, for the construction of a free, just, inclusive, and supportive society, eliminating all forms of discrimination.
Corruption and bribery
- The firm complies with the provisions of the Anti-Corruption Law (Law No. 12.846/2013 and amendments), is aware of the U.S. “Foreign Corrupt Practices Act” and its modifications (“FCPA”), as well as other applicable anti-corruption laws, and acts with transparency and respect in all its interactions with public agents.
Gifts
- Do not accept gifts, presents, favors, or personal benefits or advantages, with the intent of obtaining privileges in relationships.
Conflict of interest
- The firm conducts its business with integrity and honesty and, to ensure impartiality in decision-making processes or in situations of conflict with the firm’s interests and values, commits to adopting measures that ensure that personal aspirations do not influence, directly or indirectly, its hiring practices.
5. Privacy and Data Protection
The firm is committed to protecting the personal data of its clients, employees, suppliers, and third parties, ensuring that all personal data processing, whether in physical or digital media, is carried out in compliance with Law No. 13.709/2018 (General Data Protection Law – LGPD) and the firm’s internal policies. It is the duty of all Blanchet Advogados employees and partners to:
(i) observe the guidelines set forth in the firm’s Privacy and Data Protection Policy and applicable legislation in all activities involving the processing of personal data; and
(ii) immediately report to the Data Protection Officer (DPO) any security incident involving personal data, such as loss, destruction, alteration, unauthorized access, or any instance of violation. Contact must be made via email: dpo@blanchetlaw.com.br.
All detailed information on how the firm processes personal data is described in the Privacy and Data Protection Policy, a document that complements this Code of Conduct and must be observed by all.
6. Validity of the Code of Conduct and Ethics
This Code enters into force on the date of its publication and may be revised at any time, at the discretion of the partners of Blanchet Advogados.
